Welcome to TradePay. These Terms of Service ("Terms") govern your access to and use of TradePay's website at usetradepay.com, our mobile applications, and our related services (collectively, the "Service"), provided by VennHQ LLC, doing business as TradePay ("TradePay," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. If you're using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms, and "you" includes that business.
2. Accounts and access
You're responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access. The Service supports multiple roles, including admin and tech roles within an account; the account owner is responsible for managing those roles and the activity of users they invite.
3. Subscriptions and billing
The Service is offered on a free subscription tier (currently Collect) and paid subscription tiers (currently Control and Close). Paid subscriptions are billed in advance on a recurring basis (monthly or annually) through Stripe. Unless you cancel, your subscription will automatically renew at the end of each billing period at the then-current rate. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period, and you will continue to have access to paid features until then. Fees are non-refundable except where required by law or expressly stated otherwise.
We may change subscription pricing or feature tiers from time to time. Changes will not affect your current billing period; we will notify you in advance of any changes that affect future billing periods.
4. Payment processing (Stripe Connect)
TradePay is a software platform; we are not a bank, money transmitter, or payment processor. Payments collected from your customers through the Service are processed by Stripe under Stripe's Stripe Connected Account Agreement, which you accept by creating a connected account. You are the merchant of record for payments collected through your TradePay account. Stripe holds and disburses funds; TradePay does not take custody of customer funds. Disputes, chargebacks, and refunds are subject to Stripe's policies and the applicable card network rules.
5. Your data and customer data
You retain all rights in the data you upload to the Service, including information about your customers, jobs, invoices, and locations ("Your Content"). You grant TradePay a non-exclusive, worldwide, royalty-free license to host, store, process, and transmit Your Content solely as needed to operate and improve the Service. You represent that you have the right to upload Your Content and to authorize TradePay to process it, including any personal information about your customers and employees, in accordance with our Privacy Policy and applicable law.
6. Acceptable use
You agree not to:
- Use the Service for any illegal, fraudulent, or harmful purpose.
- Use the Service to process payments for activities that violate applicable law or Stripe's restricted business policies.
- Use the Service to facilitate chargeback fraud, refund manipulation, or money laundering.
- Attempt to access accounts or data that are not yours.
- Reverse engineer, decompile, or attempt to derive the source code of the Service.
- Scrape, crawl, or use automated tools to extract data from the Service except through APIs we provide.
- Resell, sublicense, or rent the Service without our written permission.
- Interfere with or disrupt the Service or its security.
We may suspend or terminate your account for violations of these rules.
7. Third-party services
The Service relies on and integrates with third-party services, including Stripe (payments and billing), Apple and Google (sign-on and push notifications), and Expo (mobile push delivery). Your use of those services is subject to their own terms and privacy policies, which you should review. TradePay is not responsible for those third-party services.
8. Intellectual property
TradePay and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and content we provide. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. No other rights are granted.
9. Termination
You may terminate your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if your account remains inactive for an extended period, or for any other reason in our reasonable discretion, with or without notice. Upon termination, your right to use the Service ends, but provisions that by their nature should survive termination will survive (including ownership, disclaimers, indemnification, and limitations of liability).
10. Disclaimer of warranties
The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure. To the fullest extent permitted by law, TradePay disclaims all such warranties.
11. Limitation of liability
To the fullest extent permitted by law, TradePay will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. TradePay's total liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the total fees you paid TradePay in the 12 months before the claim arose, or (b) one hundred US dollars (USD $100). Some jurisdictions do not allow these limitations; in that case, our liability is limited to the maximum extent permitted by applicable law.
12. Indemnification
You will defend, indemnify, and hold harmless TradePay and its officers, directors, employees, and affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Before filing any formal claim, you agree to first contact us at [email protected] and attempt to resolve the matter informally. Any dispute that cannot be resolved informally will be resolved by binding arbitration in Wyoming under the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in court for intellectual-property or unauthorized-access claims. You and TradePay waive the right to a trial by jury and to participate in a class action.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the Service before the changes take effect. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
15. Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and TradePay regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
